These Software Terms of Service (the "Terms" or "Terms of Service") govern your use of the website located at https://veriport.co, and related sub-domains (the "Website") and any related services (the "Services") offered by Veriport Ltd. ("Veriport" and "We", "Us" and "Our" shall refer to Veriport Ltd ).
Your organisation (the "Licensee") concludes an agreement with Veriport, which includes the right for individual representative/s of the Licensee to be users of the Services.
Your agreement with Veriport is concluded upon registration as a user, through the Website, or through the exchange of signed documents, and is applicable until termination of your user account.
By accessing the Website, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing the Website or using any other services provided by Veriport.
We reserve the right to review and amend any of these Terms of Service at our sole discretion. It is your responsibility to review these terms regularly. Any changes to these Terms of Service will take effect immediately from the date of publication either on the Website or via communication to you.
By continuing to access or use the Services after any revisions become effective, you agree to be bound by the revised Terms. If You do not agree to the new Terms, you are no longer authorized to use the Services.

Limitations of Use
By using the Website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on the Website;

remove any copyright or other proprietary notations from any materials and software on the Website;

transfer the materials to another person or “mirror” the materials on any other server;

knowingly or negligently use the Website or any of its associated Services in a way that abuses or disrupts our networks or any other service Veriport provide;

use the Website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;

use the Website or its associated services in violation of any applicable laws or regulations;

use the Website in conjunction with sending unauthorised advertising or spam;

harvest, collect or gather user data without the user’s consent; or

use the Website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties.
We reserve the right to monitor use of the Services by you and the Licensee to ensure compliance to the Terms.
Trial accounts, demo accounts
If you have been provided with trial access or a demo account, by using the Website, you acknowledge and accept that:

your use of the Website and any of its associated Services is for trial purposes only, and within the parameters of a "demo" account that has been set up for the trial;

access to the Website is limited in a timely manner as specified by us when providing the demo account login credentials to you;

during the trial phase access to the Website may be restricted and its associated Services may be limited in comparison to the full access granted to users under full license and that you have no claim to the same rights as such users;

after the trial phase has expired unless your account has been converted into a fully licensed user account any associated data may be deleted so that it cannot be restored later.
Intellectual Property
The Services and their original content (excluding content provided by users), features and functionality are and will remain the exclusive property of Veriport, and any third-party licensors, as applicable. The Services are or may be protected by copyright, trademark, and other laws of foreign countries (the "Protected Content"). Our Protected Content may not be used in connection with any product or service without the prior written consent of Veriport.
To the extent necessary for using the Services, we hereby grant to any User who registers a user account a non-exclusive, non-transferrable, non-sublicensable right to use the Protected Content for non-commercial purposes subject to the Terms. This license will automatically cease if the user account is terminated or otherwise cease to exist.
Nothing in the Terms shall authorize a user to

distribute or make available Protected Content to third parties;

lease or transfer the Website or its content or any other Protected Content to third parties; or
-
use any Protected Content outside the context of the Services.
Third-party Content
The Services may include links to content or services of third-party providers. In some cases, content made available by third parties may be shown or the Services may enable you to use additional services of third parties. We strive to design our applications in such a way that this will be readily apparent to you. All content and/or services of third-party providers are subject to the applicable terms, conditions, and policies of such third-party providers. We hereby expressly disclaim any responsibility or liability for content or services of any third parties. You are personally responsible for making sure that you do not violate the terms and conditions of such third-party providers.
User-Generated Content
You retain your intellectual property ownership rights over content you submit to us for publication on the Website, subject to these Terms of Service, and subject to any agreements that you may have with the Licensee. We will never claim ownership of your content but we do require a license from you in order to use it.
When you use the Website or its associated services to post, upload, share or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.
The license you grant us can be terminated at any time by deleting your content or account. However, to the extent that we (or our partners) have used your content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.
You give us permission to use your username and other identifying information associated with your account in a manner that is consistent with your privacy preferences and our Privacy Policy.
Reports Generated by Users on the Website
The Services include the offering of various reporting templates which guide users towards the development of sustainability, carbon, integrated and other industry reports. Individual report template licenses are purchased by the Licensee within our commercial packages, and the Licensee grants you access to these report templates subject to the terms of the Licensee's agreement with us.
Instructions and guidelines are included on the Website. We may adjust or update the offering and the instructions from time to time, and we cannot be held responsible for any inconvenience that this may cause users or the Licensee. We will give notice of any updates in this regard on the Website and via the user account correspondence email address.
Information and data that you enter into the Website is done so on behalf of the Licensee. By entering this information/data you (i) agree to be bound by the Terms and (ii) represent that you are duly authorized by the Licensee to use the Website. Please note that in addition to these Terms, further terms in the Licensee's agreement with us may apply.
Each report template license is limited to a 12-month license period, and whilst various versions of a report may be compiled, the license may not be used to compile any reports or versions of the report that are outside of the license period. To do this, the Licensee must purchase additional license/s for the additional reporting period/s. If you are in any doubt, please contact the Licensee.
The Website may provide users with information relating to third party reporting standards, guidelines or frameworks ("Frameworks"), some of whom will require third-party affiliation fees, which we will communicate, if applicable. We may recommend the use of these Frameworks but do not warrant that by using or referencing them in the context of the Website you have complied with the Frameworks or have in any official way contracted or associated with the Frameworks or the organisations that own or operate them. The Frameworks featured on the Website are referenced by you and/or on behalf of the Licensee on condition that you are responsible for making any claims relating to the use of the Frameworks in any report that you compile via the Website. We will always attempt to provide users with recommendations regarding claims that can and should be made in this regard.
The Service may be linked to participation or references to third party affiliates ("Affiliates)" that have contracted with Veriport to participate in the Services offering in some way. Further terms and conditions relating to Affiliates and the Services related to Affiliates may apply.
You are responsible for maintaining original source/back-up copies of data/information entered or uploaded into the Software and for downloading/printing Excel and PDF data/information from the Software, as applicable, for backup purposes.
Carbon Calculations
The Website offers the Licensee various carbon footprint calculation features. For calculating carbon footprints, we use scientific best-practice-aligned methods and a variety of data. The specific calculation formula is our trade secret and may change or be adapted at any time.
The accuracy of any carbon footprint calculation is linked to the accuracy of the primary input data and various other factors that may be out of our control. By using our carbon calculator you expressly acknowledge and accept (i) that the result will be a best approximation, (ii) that we expressly cannot and do not guarantee that the calculated carbon footprint corresponds to your actual carbon footprint and (iii) to the extent the calculation yields your carbon footprint over a time period partly in the future, e.g. over a year, that the calculated carbon footprint is necessarily a prediction about the future and as such necessarily an estimate or forecast.
We may offer you the option of offsetting your carbon footprint via a third-party carbon-offset trading partner company ("Offset Partner") and not by Veriport directly. Veriport is not liable for any issues arising from any agreements or transactions undertaken by you and any Offset Partner in this respect.
Disclaimer of Warranty
THE SERVICES ARE PROVIDED BY us ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF OUR SERVICES, OR THE INFORMATION, CONTENT OR MATERIALS INCLUDED THEREIN. YOU EXPRESSLY AGREE THAT YOUR USE OF THESE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS OBTAINED FROM US IS AT YOUR SOLE RISK.
NEITHERVERIPORT NOR ANY PERSON ASSOCIATED WITH VERIPORT MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SERVICES. WITHOUT LIMITING THE FOREGOING, NEITHER VERIPORT NOR ANYONE ASSOCIATED WITH VERIPORT REPRESENTS OR WARRANTS THAT THE SERVICES, THEIR CONTENT, OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE SERVICES OR THE SERVER THAT MAKES THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS OR THAT THE SERVICES OR ANY SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.
VERIPORT HEREBY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, AND FITNESS FOR PARTICULAR PURPOSE.
THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
Liability
Our Website and the materials on our Website are provided on an 'as is' basis. To the extent permitted by law, Veriport makes no warranties, expressed or implied, and hereby disclaim and negate all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.
In no event shall Veriport or their suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use the Website or the materials on the Website, even if Veriport or an authorised representative has been notified, orally or in writing, of the possibility of such damage.
In the context of this agreement, “consequential loss” includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.
Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.
Updates to software
We regularly update our Website and applications and hence may offer updates to the Website at any time and without notice. This is to ensure up-to-date security and to maximise usability of the Website. As the Website is a continuously updated system, requirements may change with it. We do not promise to keep the Website accessible and operable on all devices or though all internet browser applications.
Changes to the Services
We reserve the right to withdraw or amend our Services, and any service or material we provide via the Services, in our sole discretion without notice. We will not be liable if for any reason if all or any part of the Services is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Services, or the entire Services to users.
Data Privacy
We will process your personal data in compliance with applicable data protection laws and in compliance with our data privacy policy which can be accessed via the Website.
Accuracy of Materials
The materials appearing on the Website are not comprehensive and are for general information purposes only. Veriport does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on the Website, or otherwise relating to such materials or on any resources linked to the Website.
Links
Veriport have not reviewed all of the sites linked to the Website and are not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by Veriport of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.
Termination
Subject to the remainder of this Clause, the Terms will terminate automatically when your user account is deleted.
Subject to the terms of this agreement you may cancel your user account at any time without cause or explanation. Please send any request for cancellation of your user account to your Licensee representative, and if necessary to info@veriport.co.
The terms of our data privacy policy and Data Protection Agreement, undertaken by the Licensee will apply for your personal data following cancellation of your user account. All Licensee related data and content uploaded by you to the Website will remain available to the Licensee, in accordance with the terms of its license agreement with us.
Your user account will remain in place unless and until you cancel your user account, or unless the Licensee cancels your account on your behalf.
We may terminate your use of the Services and cancel your user account at the end of the Licensee’s agreement term.
Right to Terminate
We may suspend or terminate your right to use the Website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.
Revocation Rights
In some countries, such as in the member states of the European Union, the Licensee or a user may have a revocation right, subject to various conditions, which may by extension have consequences to your rights as the user. The Licensee is responsible for checking revocation rights and communication with you about a) your access to the Services and b) your account.
Assignments
We reserve the right to transfer our rights and obligations under the Terms to any subsidiary, affiliate or successor. Any such transfer will not affect the availability of the Services to you or the operation of the Website. We will always inform you before we transfer any obligations under the Terms.
Waiver and Severability
No waiver by Veriport of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Veriport to assert a right or provision under the Terms shall not constitute a waiver of such right or provision.
Should any provision of these Terms be or become, either in whole or on part, void, ineffective or unenforceable, the remaining provisions will remain unaffected thereby. The same applies in case of unintentional gaps in these Terms.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of United Kingdom. You submit to the exclusive jurisdiction of the courts in that State or location.
Jurisdiction and Dispute Resolution
To the extent legally permissible, all disputes under and in connection with these Terms or their validity, shall be exclusively settled before the district courts of our registered office.
We prefer to address any concerns you may have directly and therefore may not support participate in any consumer mediation proceedings. Please contact us directly with any questions or problems.
